3. Service Agreement and Project Scope

Scope Changes

You retain ownership of all content, data, and materials provided to us. You grant us a license to use these materials solely for project delivery.

Upon full payment, you receive ownership of custom-developed solutions, excluding:

  • Third-party software and licenses
  • Our proprietary frameworks and tools
  • Open-source components (subject to their respective licenses)
Our Intellectual Property

We retain ownership of our methodologies, frameworks, and pre-existing intellectual property used in service delivery.

7. Confidentiality

We maintain strict confidentiality regarding:

  • Your business information and trade secrets
  • Project details and specifications
  • Technical implementations and solutions
  • Any information marked as confidential

We may use non-confidential project information for portfolio purposes with your consent.

8. Warranties and Disclaimers

Service Warranty

We warrant that our services will be performed with professional skill and care in accordance with industry standards.

Software Warranty

We provide a warranty period (typically 30-90 days) for bug fixes and corrections to delivered software, excluding:

11. Termination

Termination by Client

You may terminate services with written notice. You remain liable for work completed and expenses incurred up to the termination date.

Termination by Company

We may terminate services for:

  • Illegal or unethical requests
Effect of Termination

Upon termination, we will deliver completed work and return client materials. Outstanding payments become immediately due.

12. Force Majeure

We are not liable for delays or failures caused by circumstances beyond our reasonable control, including natural disasters, government actions, internet outages, or other force majeure events.

13. Governing Law and Jurisdiction

These Terms are governed by the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.
